From five million euro onwards a prospectus requires approval of the financial services regulatory authority and is highly regulated, whereas a memorandum does not require approval and is more flexible for private deals, though it still needs to comply with regulations and disclose risks.

Both documents are high-quality presentations with the information needed to close a potential deal, containing a comprehensive overview of a company, including financial data, market analysis, risk, management, and product or service information.
